These Terms & Conditions govern your use of the website operated by Budi Partners at budiipartnao.top and the engagement of legal services provided by the firm. By accessing the site or submitting an enquiry, you agree to these Terms. If you do not agree, please do not use our website or services.
1. Definitions
In these Terms, the following definitions apply:
- "Firm", "We", "Us", "Our" refers to Budi Partners, a law firm registered in Malaysia.
- "Website" refers to the site accessible at budiipartnao.top and any sub-pages therein.
- "User", "You" refers to any person accessing the Website or enquiring about or engaging our services.
- "Services" refers to arbitration representation, mediation services, and related legal advisory services provided by the Firm.
- "Agreement" refers to any formal retainer or engagement letter entered into between the Firm and a client.
- "Content" refers to all text, images, and materials published on the Website.
2. Acceptance of Terms
By accessing the Website or submitting any enquiry form, you confirm that you are at least 18 years of age, have the legal capacity to enter into agreements, and accept these Terms in full. The submission of an enquiry form does not constitute the formation of a solicitor-client relationship. A formal relationship is established only upon execution of a signed retainer agreement.
3. Description of Services
Budi Partners provides legal representation and advisory services in the fields of commercial arbitration, domestic and international mediation, dispute resolution strategy, and adjudication proceedings. Services are provided to commercial entities and individuals across Malaysia and, in cross-border matters, in collaboration with co-counsel in relevant jurisdictions.
The availability of specific services may vary depending on the nature of the matter, applicable conflict checks, and our current capacity. We reserve the right to decline any instruction without providing reasons.
4. Use of the Website
You agree to use the Website for lawful purposes only. You must not:
- Use the Website in any way that breaches applicable Malaysian law or regulation
- Transmit any unsolicited commercial communications (spam)
- Attempt to gain unauthorised access to any part of the Website or its underlying systems
- Introduce malicious code, viruses, or disruptive software
- Reproduce, republish, or redistribute any Website Content without our prior written consent
- Use the Website to misrepresent your identity or affiliation
5. Website Content — Not Legal Advice
All information published on the Website is provided for general informational purposes only. Nothing on this Website constitutes legal advice, creates a solicitor-client relationship, or should be relied upon as a substitute for professional legal counsel specific to your circumstances. We accept no liability for any action taken or not taken based on Website Content.
6. Intellectual Property
All Content on the Website, including text, graphics, logos, and structural design, is owned by or licensed to Budi Partners and is protected by Malaysian and international intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to access and view the Website for personal, non-commercial purposes only. No other rights are granted.
7. Fees and Billing
Our professional fees are agreed in advance and set out in the relevant retainer agreement. All fees are quoted in Malaysian Ringgit (MYR) unless otherwise stated. Payment terms, billing intervals, and any applicable disbursements will be specified in the retainer. We reserve the right to suspend services where invoices remain unpaid beyond the agreed terms.
Our fee arrangements may include hourly billing, fixed-fee engagements, or agreed-milestone structures, depending on the nature of the matter. Details are confirmed at the time of engagement.
8. Confidentiality
We are subject to professional obligations of confidentiality under Malaysian Bar Council rules. All information provided to us in the context of a client matter will be treated as confidential and will not be disclosed to third parties except as required by law, court order, or professional regulation, or with your prior consent.
9. Disclaimers
The Website and its Content are provided on an "as is" basis without warranties of any kind, express or implied. While we take care to keep information current, we do not warrant the accuracy, completeness, or fitness for purpose of any Content. We do not guarantee specific legal outcomes. The result of any arbitral or mediation proceeding depends on a range of factors outside our control.
10. Limitation of Liability
To the extent permitted by law, Budi Partners shall not be liable for any indirect, incidental, special, or consequential loss arising from your use of the Website or reliance on its Content. Our total liability to any client arising from a specific matter shall not exceed the fees paid by that client in respect of that matter.
Nothing in these Terms limits our liability for fraud, gross negligence, or any liability that cannot be excluded under applicable law.
11. Indemnification
You agree to indemnify and hold harmless Budi Partners, its principals, and associates from and against any claims, damages, losses, and expenses (including legal fees) arising from your breach of these Terms or your misuse of the Website.
12. Termination of Engagement
Either party may terminate a formal engagement upon reasonable notice, subject to the terms of the retainer agreement. Upon termination, any outstanding fees for work completed remain due. We may retain copies of documents as required by our professional obligations. Early termination does not affect rights or obligations that have already accrued.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of Malaysia. Any dispute arising from these Terms or use of the Website shall first be subject to good faith negotiation between the parties. If unresolved, disputes shall be referred to the courts of Malaysia, with exclusive jurisdiction in Kuala Lumpur, unless an alternative forum is agreed in writing.
14. General Provisions
- Entire agreement: These Terms, together with any signed retainer agreement, constitute the entire agreement between us in respect of Website use and service engagement.
- Severability: If any provision of these Terms is found unenforceable, the remaining provisions continue in full force.
- Waiver: Our failure to enforce any provision does not constitute a waiver of that right.
- Assignment: You may not assign any rights under these Terms without our prior written consent.
15. Changes to These Terms
We reserve the right to amend these Terms at any time. Changes will be published on this page with an updated effective date. Your continued use of the Website following publication of amendments constitutes acceptance of the revised Terms.
